Tobiratory hopes that many creators will participate in creative activities related to the TOBIRA NEKO NFTs that Tobiratory holds the rights to, further expanding and developing the Tobiratory ecosystem. Tobiratory also welcomes creators who earn revenue from these activities. This TOBIRA NEKO NFT License Guideline (hereinafter referred to as the "Guidelines") has been created to provide certain guidelines so that creators can participate in these activities with confidence and clarity.

We believe that owning TOBIRA NEKO NFTs is also a form of creative activity and self-expression.
Therefore, these guidelines aim not only to clarify the rights of creators, but also to clarify the rights and interests of TOBIRA NEKO NFT holders.

Our goal is to strengthen and foster relationships and bonds between creators and community members by clarifying the protection of rights and interests for those who wish to participate in creative activities related to TOBIRA NEKO NFT.

These guidelines are aimed at the creative activities of individual creators and small teams.
Corporations and other legal entities (including foreign corporations), organizations or teams of five or more people engaging in activities related to Tobiratory are not subject to these guidelines, so please contact Tobiratory using the separate inquiry form.

The following activities go beyond the intended use of these Guidelines. Please be sure to contact Tobiratory for approval before undertaking these activities:

Basic rules

• Tobiratory welcomes creators to create derivative works of TOBIRA NEKO NFT (including artwork such as images linked to the token; the same applies below).
• If you create derivative works of TOBIRA NEKO NFT, you must respect the creator and add appropriate credit to any derivative works resulting from your derivative work (limited to works that demonstrate the creator's creativity; hereinafter referred to as "Derivative Works").
• Please be mindful of the wishes of the creator, team members, and TOBIRA NEKO NFT holders regarding how derivative works are expressed.
• Commercial use is also permitted under certain rules.
• All rights as the original author of TOBIRA NEKO NFT belong to Tobiratory or the original creator, and Tobiratory reserves the right to suspend any activities that violate these Guidelines or the use of derivative works, and the right to seek compensation for damages incurred by Tobiratory due to such violations. However, Tobiratory will not actively exercise these rights unless these Guidelines are violated.
• These Guidelines also apply to derivative works, and creators of derivative works may not restrict the free use of the derivative works by third parties (including, but not limited to, not exercising any claims, including moral rights, that creators may have in relation to the derivative works).

NFT Owner Rights

1. You are free to copy or share the TOBIRA NEKO NFT as long as you do not violate these guidelines, but you must give proper credit to Tobiratory.
2. You may create derivative works and other derivative works for commercial or non-commercial purposes until your cumulative revenue reaches $5 million USD. You may use the original artwork as is, regardless of whether the purpose is commercial or non-commercial.
3. If you think your cumulative earnings may exceed the above limits, please contact Tobiratory in advance.

Rights of Non-NFT Holders

Regarding TOBIRA NEKO NFT, those who do not own NFT may engage in activities subject to the following restrictions:

1. You may create and sell derivative works for commercial or non-commercial purposes until your cumulative revenue reaches $1 million. However, you may only reproduce TOBIRA NEKO NFTs that you do not own with the permission of the relevant owner.
2. If you think your cumulative earnings may exceed the above limits, please contact Tobiratory in advance.

Tobiratory Rights

Tobiratory reserves the right to use the TOBIRA NEKO NFT and derivative works without restriction for promotional and other purposes.

Prohibitions

• Creation and use of content that damages the dignity, image, customer appeal, business credibility, etc. of Tobiratory, creators, or TOBIRA NEKO NFT
• Creation and use of content that includes, or may be deemed to include, content related to criminal acts, obscene content, content that promotes discrimination, or other content that is contrary to public order and morals.
• Creation and use of works that do not reflect the originality of the creator, including copying, sampling, or tracing, except when TOBIRA NEKO NFT holders use their own NFTs.
• Making representations that may lead to the misunderstanding that the work is a derivative work produced by Tobiratory
• Creation and use of content that infringes or may infringe the rights of third parties
• Applying for trademarks, designs, patents, or other intellectual property rights for TOBIRA NEKO NFT or derivative works
• Any other actions that violate or may violate these guidelines

How to credit Tobiratory

If you create a derivative work, please credit Tobiratory as follows. If we are unable to confirm the credit, we may ask you to revise the credit.

• If you release your derivative work as an NFT, please include credit to Tobiratory in the description of the NFT and collection.
• If you publish or offer derivative works in a form other than NFT, please include credit for Tobiratory in a space that is easily visible and accessible to third parties.
• Please include the following credits:

Examples of art licensing

The following use cases are permitted (with limitations on cumulative earnings):

• When manufacturing and selling products such as T-shirts printed with TOBIRA NEKO NFTs that you own or have obtained permission to use from the owner.
• Regardless of whether you own the TOBIRA NEKO NFT or not, you may modify the TOBIRA NEKO NFT, create derivative works such as illustrations based on the NFT, and publish them on Twitter, etc., as well as sell the derivative works as NFTs, or manufacture and sell merchandise such as T-shirts printed with the derivative works.

The following use cases are not allowed:

• When you use a TOBIRA NEKO NFT that you do not own to manufacture and sell products such as T-shirts without obtaining permission from the owner.
• If you issue an NFT that is identical or of the same type as the TOBIRA NEKO NFT without making any changes or only minor modifications.

You do not need to contact Tobiratory about creating or using derivative works as long as they do not violate these Guidelines.
Tobirator may revise or update these guidelines without prior notice. If you are involved in any activities related to TOBIRA NEKO NFT, please refer to the latest version of these guidelines.
